ARTICLE 1: INTRODUCTION

Welcome to www.opal.om! The Terms and Conditions govern your use of the Opal website, application, platform, and all related services (collectively referred to as "the Services"). By accessing or using our Services, you ("User" or "Users") agree to comply with and be bound by these Terms and Conditions, as well as any applicable laws and regulations.

The Services are provided by Opal, and these Terms and Conditions are legally binding for all individuals and entities, whether natural or juristic, who access or use the Services.

These Terms and Conditions apply to Users accessing Opal and utilizing our Services, whether within the Sultanate of Oman or from any other jurisdiction, whether or not located within Oman.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, which may be updated or modified from time to time.

ARTICLE 2: DEFINITIONS

Unless otherwise mentioned hereunder, the following terms shall be defined as follows:

  1. "Opal," "Us," or "We" refers to Opal Smart Solutions LLC, its website, applications, features, or other services provided by Opal, including but not limited to its delivery platform, website, and mobile applications.
  2. "User" or "Users" refers to individuals or entities that utilize Opal's services, including:
    • Personal Users: Individuals/Entities requiring logistics services for personal use, moving household items or shipping personal goods.
    • Drivers or Representatives: Individuals engaged as independent contractors to perform delivery services, responsible for transporting goods securely and on time. They operate independently of Opal and are not considered employees of the company.
    collectively as "Users/User."
  3. "Drivers" or "Representatives" refers to individuals engaged by Opal as independent contractors to perform delivery services. Representatives are responsible for transporting goods from the sender to the recipient using their vehicles, ensuring the timely and secure delivery of items. They operate independently of Opal and are not considered employees of the company.
  4. "Marks" refers to all protected trademarks, service marks, logos, slogans, trade names, and other identifying symbols used on Opal's platform, or any other platform associated with Opal's services, including all intellectual property related to Opal's brand.
  5. "Services" refers to the delivery and related services provided by Opal through its platform, including the connecting of Users with Representatives for the purpose of transporting goods, items, or services from one location to another.
  6. "Account" refers to the unique user profile created by a User to access and use Opal's services, which includes information such as contact details, payment information, delivery preferences, and any other data provided during registration or interaction with the platform.
  7. "Delivery" refers to the process by which a Representative transports items or goods from a sender (User) to a recipient, as requested through the Opal platform.
  8. "Platform" refers to the website, mobile application(s), or any other digital interface through which Opal offers its Services, enabling Users to interact with Opal and its Representatives.
  9. "Fee" or "Charges" refers to the amounts payable by Users for the use of Opal's services, including but not limited to delivery fees, service charges, and any applicable taxes or additional charges for premium services or urgent deliveries.
  10. "Privacy Policy" refers to the document outlining Opal's practices regarding the collection, use, storage, and protection of Users' personal data, as well as Users' rights and choices regarding their data.
  11. "Terms" refers to these Terms and Conditions, which govern the use of Opal's services, platform, and related features.
  12. "User Content" refers to any content, information, data, or material (including but not limited to text, images, or reviews) that a User uploads, submits, or otherwise makes available through the Opal platform.
  13. "Force Majeure" refers to any event or circumstance beyond Opal's reasonable control, including but not limited to natural disasters, governmental actions, labor strikes, or technical failures, that prevents or delays the performance of its obligations under these Terms and Conditions.

ARTICLE 3: SCOPE OF SERVICES

Opal provides a digital platform through its app and website that allows Personal Users/Entities (customers) to request and manage deliveries or services at their discretion, covering all regions of the Sultanate of Oman and potentially expanding to other regions in the future. The platform connects Users directly with Representatives (delivery agents), bypassing intermediaries, for the purpose of transporting goods and services.

The scope of Opal's services includes, but is not limited to:

For Personal Users/Entities (Customers requesting services):

  • Allowing Users to request delivery services and choose delivery options based on time, cost, and service requirements, via the Opal app or website.
  • Tracking the status of ongoing orders in real time.
  • Enabling direct connections between Users and Representatives, facilitating the smooth execution of delivery tasks without involvement of third-party intermediaries.
  • Offering customer support for any issues related to the use of the platform, including service inquiries, order status, or delivery-related concerns.

For Representatives (Independent Contractors providing delivery services):

  • Allowing Representatives to access the Opal platform to receive and accept delivery requests from Users.
  • Providing Representatives with tools to manage their deliveries, track progress, and update delivery statuses through the platform.
  • Enabling Representatives to interact with Users for operational and logistical purposes related to the delivery.
  • Offering support to Representatives regarding platform-related issues, including assistance with technical aspects or operational procedures.

Opal acts solely as a facilitator, connecting Users with Representatives, and is not involved in the physical handling or transportation of goods. Opal does not take responsibility for delivery arrangements or compliance with local transport regulations. Users are solely responsible for verifying the accuracy of delivery addresses provided through the platform, as Opal is not liable for any errors in this regard.

While Representatives strive to meet estimated delivery times, delays may occur due to external factors such as weather conditions, traffic, or other unforeseen circumstances. Opal is not liable for any delays or failures in meeting delivery schedules that result from such factors.

The Services are available to Users within the Sultanate of Oman and may expand to additional regions in the future. Opal reserves the right to modify, suspend, or discontinue its services at any time, with or without notice, at its sole discretion.

While Opal makes every effort to ensure the platform is available and functional, there may be occasional downtime due to system maintenance, technical issues, or other factors outside of Opal's control. Opal is not liable for any loss or inconvenience arising from such downtime.

ARTICLE 4: REGISTRATION

To access and use the services provided by Opal, User must complete the registration process by creating an account on the Opal platform (the "Account"). By registering, you agree to provide accurate, current, and complete information, and to update such information as necessary to ensure that it remains accurate and up to date. Registration is required for all Users, including Customers and Drivers, to access the platform and use Opal's services.

a. Account Creation:

Personal Users/Entities and Drivers are required to register separately, and the registration process may differ based on the type of User. To create an account, you will be asked to provide certain personal information, including but not limited to:

  • Full Name
  • Email Address
  • Phone Number
  • Residential Address (for delivery services)
  • Pick Up and Destination Address
  • Payment Information (for processing payments related to services)
  • Government-Issued Identification (for Drivers to verify legal driving status and vehicle registration, if applicable)
  • Driver's License Information (for Drivers only)
  • Vehicle Information (for Drivers only, including vehicle make, model, year, and registration details)

b. Accuracy of Information:

You agree to provide accurate, truthful, and complete information during the registration process and throughout the use of the Opal platform. Failure to provide accurate information may result in the suspension or termination of your account.

You are responsible for ensuring that the information in your account remains up to date, and you agree to promptly update your details if any changes occur (e.g., change of address, contact information, payment details, or vehicle status).

c. Account Security:

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to immediately notify Opal if you suspect any unauthorized use of your account or if you believe your account credentials have been compromised.

d. Account Approval:

After submitting your registration details, Opal may require a verification process to approve your account, particularly for Drivers, to ensure compliance with legal, safety, and platform standards. Opal reserves the right to accept or reject any registration request at its sole discretion, and to suspend or terminate an account if the provided information is inaccurate, incomplete, or violates the Terms and Conditions.

e. Use of Account:

Once registered, you will be granted access to the Opal platform to use the services as permitted by your user type (Customer or Driver). You agree to use the platform solely for lawful purposes and in accordance with these Terms and Conditions.

f. Third-Party Information:

In some cases, Opal may collect or access third-party information (such as from payment processors or government databases) to verify your identity or process transactions. You authorize Opal to collect and use this information for these purposes.

ARTICLE 5: DRIVERS' RESPONSIBILITIES

By registering as a Driver on the Opal platform, you agree to the following terms and conditions, which are specific to Drivers, and form part of the overall Terms and Conditions for using Opal services.

  1. You confirm the accuracy of all information provided during the registration process. This includes your personal details, vehicle information, and any other necessary data. You are fully responsible for any losses resulting from inaccurate or incomplete information, including issues such as forgetting your password or failure to update your account details. Opal is not liable for any such issues and reserves the right to terminate your account if necessary.
  2. You bear full responsibility for any personal data, opinions, or information you share during the use of Opal services, including any files or documents sent through the platform. Opal is not responsible for the content you provide or for any consequences arising from such information.
  3. You agree not to send any threatening, immoral, or discriminatory messages while using the platform. You also agree not to use the Opal service for any commercial or advertising purposes without obtaining prior written consent from Opal.
  4. You are prohibited from using the Opal platform for any illegal purposes or harmful activities, including but not limited to sending harmful information, viruses, or malware that could damage the devices or systems of other Users.
  5. Opal reserves the right to monitor its systems and activities at all times. The company may use its systems for commercial purposes, including analyzing usage patterns, improving services, and marketing.
  6. You agree not to access the Opal platform or services using third-party accounts without explicit consent from Opal. You also agree not to use the platform for illegal activities or actions that infringe on the rights of others.
  7. If you are a minor, you are not allowed to use Opal services. Your guardian must always supervise your use of the platform.
  8. As a Driver, you acknowledge that the User will pay the Representatives directly for the delivery services either in cash or via online payment, as specified by Opal and in the delivery request. Opal is not responsible for any payment disputes, issues, or discrepancies arising from cash transactions. If the payment is made via designated online platform, you agree to confirm receipt of payment through the appropriate platform. By using that third-party payment services/platform, you acknowledge that you do so at your own risk and discretion. In the event of any dispute or issue related to payments, you agree to contact the third-party service provider directly for resolution. Opal will not be responsible for any disputes arising from these services.
  9. You acknowledge that Drivers are independent contractors and not employees of Opal. Opal has no controlling or supervisory authority over you as a Driver, and you are fully responsible for your own actions, including any misleading or deceptive practices that may occur during the course of a delivery. Opal is not liable for any inaccuracies, disputes, or issues between you and the User.
  10. You acknowledge that Opal does not act as your agent and is not responsible for any legal obligations arising from the delivery process. In the event of a breach of the Terms and Conditions or legal violations within the Sultanate of Oman, you are personally responsible for any consequences, including legal action, and not Opal.
  11. As a Driver, you agree to maintain a high level of professionalism and courtesy when interacting with Users (Customers). This includes being respectful, communicative, and providing timely updates on the status of deliveries. Opal encourages good communication between Drivers and Users to ensure satisfaction and successful deliveries.
  12. You agree to make reasonable efforts to complete deliveries on time as per the estimates provided by the Opal platform. While delays may occur due to factors beyond your control, it is your responsibility to promptly inform the User of any expected delays.
  13. You must treat all items being transported with care. Any damage caused to the items, whether intentional or accidental, may result in claims for damages, and you may be held liable for such damage.
  14. Drivers are not permitted to subcontract or delegate the delivery tasks to others without Opal's prior consent. All deliveries must be completed by the registered Driver unless otherwise authorized by Opal.
  15. You acknowledge that the platform may allow Users to rate and provide feedback on your performance as a Driver. Your ratings may affect your future access to delivery requests. You agree to accept feedback, whether positive or negative, as part of the continuous process of improving service quality.
  16. Your vehicle must be in good operational condition and meet all legal and safety standards in the Sultanate of Oman. This includes maintaining valid vehicle registration and insurance.
  17. Opal reserves the right to request periodic vehicle inspections or ask for documentation verifying the condition of the vehicle. Failure to provide such documentation or meet vehicle standards could lead to suspension from the platform.
  18. You are responsible for ensuring that your vehicle is properly fueled, maintained, and ready to handle deliveries. Opal will not reimburse fuel or maintenance costs.
  19. As a Driver, you are required to maintain appropriate vehicle insurance for your vehicle, which should cover any potential accidents, damage, or theft during deliveries. While Opal may provide limited insurance in certain cases, it is your responsibility to ensure adequate coverage.
  20. Opal will not be held responsible for any damage to goods or injury to persons occurring during deliveries. You are liable for any loss or damage to the User's property or any third-party property that occurs while you are performing delivery services.
  21. Opal reserves the right to suspend or terminate your Driver account if you violate any of these terms, engage in illegal activities, provide false or misleading information, or fail to meet Opal's quality standards.
  22. In cases of alleged misconduct or serious complaints, Opal may temporarily suspend your account while an investigation is conducted. You agree to cooperate with Opal during such investigations.
  23. If a Driver attempts to contact the Personal User independently of Opal, or vice versa, it will be considered a violation of the terms and conditions. In such cases, Opal reserves the right to take disciplinary action, including but not limited to the suspension or termination of the User's account, in addition to any other remedies provided by law.
  24. Drivers are expressly prohibited from initiating direct contact with Customers outside the scope of the delivery request, unless explicitly authorized by Opal.
  25. Opal is not responsible for any disputes or issues arising from unauthorized contact between Drivers and Customers. If a Driver engages in independent contact, it may result in a breach of trust and negatively impact the integrity of the platform, leading to further actions as deemed appropriate by Opal.

ARTICLE 6: TERMS FOR PERSONAL USERS/ENTITITES

By using the Opal platform as a User (Customer), you agree to the following terms and conditions, which apply specifically to Personal Users or Entities requesting delivery services.

  1. You confirm the accuracy of all information provided during the registration process, including your personal details, delivery address, and payment information. You are fully responsible for any losses resulting from inaccurate or insufficient information, such as forgetting your password or failure to update your account. Opal is not responsible for such issues and reserves the right to terminate your account if necessary.
  2. You are responsible for the personal data, opinions, and any information shared during the use of Opal services. This includes any files or documents you send to Drivers. Opal is not liable for any issues arising from the information you provide.
  3. You agree not to send any threatening, immoral, or discriminatory messages through the platform, and you will not use the Opal service for commercial or advertising purposes without obtaining prior consent from Opal.
  4. You agree not to use the Opal platform for any illegal activities or for sending information, viruses, or software that could harm the devices of other Users or Drivers. You are prohibited from engaging in actions that could cause damage to the platform or other parties.
  5. Opal reserves the right to always monitor its systems and activities. The company may use the platform for commercial purposes, including service improvement, marketing, and analyzing usage data.
  6. You agree not to access the Opal platform using third-party accounts without explicit consent from Opal, and not to use the platform for any illegal activities or actions that infringe upon the rights of others.
  7. If you are a minor, you must obtain the approval of your guardian before using Opal services. Your guardian must supervise your use of the platform.
  8. As a User, you agree to pay Drivers directly via cash or designated online methods. Opal is not responsible for payment disputes, issues with cash transactions, or third-party platform disputes. For any issues, you must contact the payment provider directly.
  9. You acknowledge that Opal is not responsible for any legal obligations arising from your use of the platform or your interactions with Drivers. In the event of a dispute or violation of the Terms and Conditions, you are personally responsible for resolving the issue with the Driver and for complying with the legal provisions in the Sultanate of Oman.
  10. You understand that Opal does not employ the Drivers, and that Drivers are independent contractors. Opal is not liable for the conduct of Drivers or any inaccurate, misleading, or harmful information exchanged between you and the Driver.
  11. You are responsible for providing accurate and complete information regarding the delivery details, including the recipient's name, address, and contact number. Opal is not liable for any delivery errors or delays caused by incorrect or incomplete information provided by you.
  12. You agree to engage with Drivers in a respectful and professional manner. You shall not engage in harassment, abusive language, or discriminatory behavior towards Drivers. Opal has a zero-tolerance policy towards any form of harassment or abuse on the platform.
  13. You are required to comply with all applicable laws, including import/export regulations, customs laws, and any other legal requirements related to the goods being transported. Opal is not responsible for any legal issues related to your deliveries.
  14. You may cancel your delivery request through the Opal platform, subject to cancellation fees and terms. Refunds, if applicable, will be processed in accordance with Opal's refund policy, which may vary based on the circumstances of the cancellation.
  15. You agree to be available to receive your delivery or respond to the Driver in case of any issues during the delivery process. Opal is not responsible for failed deliveries due to your unavailability or lack of response.
  16. You agree to pay the Driver directly in cash as per the amount indicated in your order. Opal is not responsible for handling cash transactions between you and the Driver. Any disputes related to payment must be addressed directly with the Driver.
  17. You must ensure that the payment you provide is in the correct amount as agreed. Opal will not be responsible for any discrepancies or disputes that arise from incorrect payments.
  18. If there are any additional charges or surcharges (e.g., for special handling, extra time, or tolls), you agree to pay them directly to the Driver at the time of delivery. These changes will be made clear to you during the order process.
  19. You acknowledge that Opal is not liable for any loss, damage, or delay that occurs during the delivery process. Any claims for damage or loss must be made directly to the Driver or resolved between you and the Driver.
  20. In case of a dispute between you and the Driver, Opal may help in resolving the issue but is not liable for any outcomes. You agree to resolve disputes amicably or seek third-party legal assistance if necessary. Any legal claims should be directed towards the appropriate parties.
  21. Opal is not responsible for any delays or failures in the delivery process caused by external factors such as weather conditions, road closures, or unforeseen circumstances. Opal provides a platform for connecting Users and Drivers but is not involved in the actual delivery.
  22. Opal reserves the right to suspend or terminate your User account if you violate any terms of service, engage in fraudulent activity, or abuse the platform in any way.
  23. Opal may suspend or terminate your access to the platform if your account is found to be in violation of the Terms and Conditions or if you repeatedly fail to meet the expectations set by the platform.

ARTICLE 7: COMMON DUTIES

  1. Both Users and Drivers must refrain from abusing, misusing, or exploiting Opal's services for any unauthorized or malicious purposes. This includes attempting to manipulate the system, using it for spam or advertising purposes, or interfering with other users' experiences.
  2. Both Users and Drivers are prohibited from violating any terms outlined in this agreement, including engaging in any conduct that violates Opal's Privacy Policy, Service Fees, or any other policies listed.
  3. Both Users and Drivers are prohibited from accessing Opal services or the platform using third-party accounts or devices without express permission from Opal.
  4. Both Users and Drivers are required to cooperate in resolving disputes or issues that may arise during or after delivery. Refusal to provide necessary information or non-cooperation during investigations will be considered a breach of this agreement.
  5. Any violation of these prohibited conduct clauses may result in immediate suspension or termination of the User's or Driver's account. Opal reserves the right to take appropriate actions, including not limited to issuing warnings, blocking accounts, and initiating legal proceedings where necessary.
  6. Opal may also withhold payment or apply penalties for damage caused by the User's or Driver's actions. Any repeated violation or serious misconduct may lead to permanent account termination and reporting to the relevant authorities.

ARTICLE 8: PAYMENT TERMS

a. Fixed Price:

Fixed Price means that the total payment amount for a delivery or service is pre-determined and is not subject to any adjustments based on the Driver's actual costs or expenses incurred during delivery or service execution. The User and Driver agree on a set price, and this price remains unchanged regardless of factors such as time, distance, or other unforeseen circumstances. This model offers predictability for both the User and the Driver, ensuring a fixed, agreed-upon cost.

Opal charges a service fee or commission ("Service fee") totaling 12% of the Fixed Price, in addition to the Fixed Price. This fee is evenly divided, with 6% allocated to the User and 6% to the Driver. The service fee is disclosed to both the User and the Driver at the time of the transaction and may vary based on the specific terms of the agreement or service package.

The User will pay the agreed fixed price to Opal via the designated online payment method. Opal will then deduct the service fee and transfer the remaining amount to the Driver. The service fee is invoiced separately by Opal and will be processed through the same online payment method.

b. Bidding Process:

Upon the User's request for delivery or services, Opal may initiate a Bidding Process where Drivers are notified about the offer. Drivers will receive a notification of the current delivery offer and can submit their bids, which include their proposed delivery price and any terms they wish to specify. This allows Drivers to offer competitive pricing based on the User's requirements, such as delivery time, distance, and special instructions.

Once all bids are submitted, the User can review the proposals and select the Driver that best matches their needs, considering factors such as price, estimated delivery time, and any additional services offered. The User will agree to the selected bid, and a formal contract will be established between the User and the Driver based on the chosen terms.

Opal facilitates the transaction but does not directly control the pricing of bids submitted by Drivers. However, the User will pay the agreed bid amount to Opal. Opal will then deduct its service fee from this amount and transfer the remaining balance to the Driver. Opal may charge a service fee, which is calculated based on the final agreed bid amount and will be invoiced separately to the User.

c. VAT:

Depending on the nature of the services provided, prices for deliveries and services may be subject to Value Added Tax (VAT). VAT will be applied in accordance with the laws of the Sultanate of Oman or any relevant jurisdiction. VAT charges will be clearly indicated on the invoice provided to the User. The User agrees to pay any VAT that is applicable to the services rendered, in addition to the agreed-upon price for the service or delivery. Opal will ensure that the VAT is calculated at the correct rate and included in the final invoice provided to the User.

For Drivers acting as independent contractors, it is the Driver's responsibility to manage their own VAT compliance, including issuing receipts where applicable, as per the regulations of the Sultanate of Oman.

d. Opal's Service Fees:

Opal charges a service fee to both Users and Drivers. This fee is a total of 12% of the agreed-upon delivery price or the final accepted bid amount, with 6% charged to each party. The fee will be transparently communicated before final confirmation of the transaction. Opal's Service Fee is applied to the transaction total and will be invoiced separately. This fee may vary depending on the delivery service type, distance, or region. Opal reserves the right to modify the service fee structure at any time, and users will be notified accordingly.

The User is responsible for paying the total amount (including VAT and any applicable fees) for the service or delivery as outlined in the invoice. After payment is received, Opal will deduct the service fee and transfer the remaining amount to the Driver.

e. Others:

  1. While Opal facilitates the process of Fixed Price and Bidding, it is not involved in the pricing decisions between the User and the Driver. Opal's involvement is limited to processing payments, issuing invoices, and ensuring compliance with applicable service fees.
  2. In the event that there are any unused funds remaining in your account, Opal will retain these funds for a maximum period of (1) one year. If we do not receive your written request for the return of these unused funds within this timeframe, Opal reserves the right to debit or forfeit the unused funds. Nevertheless, Users will be notified in advance of any action taken regarding the debiting of unused funds to ensure transparency and allow for timely claims.

ARTICLE 9: INTELLECTUAL PROPERTY OWNERSHIP

All materials and content displayed on the Opal website/application, including but not limited to images, text, graphics, logos, software, audio and video files, and other materials (collectively referred to as "Content"), are the exclusive property of Opal, its affiliates or third parties, and are protected by applicable copyright laws in the Sultanate of Oman and internationally. The compilation of all Content on the Opal website/application is the sole and exclusive property of Opal and its affiliates and is protected by copyright laws.

Marks are either owned by Opal or its affiliates or have been licensed to Opal by their respective owners. The use of any Marks on the Opal website/application without the express written permission of Opal or the respective owner of the Marks is strictly prohibited.

Users of the Opal are prohibited from reproducing, distributing, modifying, creating derivative works of, publicly displaying, publicly performing, republishing, downloading, or transmitting any Content or Marks displayed on the Opal website/application without the prior written consent of Opal or the respective owner of the Content or Marks. Unauthorized use of any Content or Marks may result in legal action by Opal or the respective owner of the Content or Marks.

ARTICLE 10: USER OWNERSHIP

By using Opal's services, the User retains full ownership of any content they upload, post, or transmit through the Opal platform, including but not limited to text, images, documents, videos, or other materials ("User Content"). The User affirms that they possess all necessary rights, licenses, or permissions to upload and share such content on the platform and that the content does not infringe upon the intellectual property rights or other legal rights of any third party. By submitting User Content, the User grants Opal a worldwide, royalty-free, transferable, and sublicensable license to use, display, modify, reproduce, distribute, and process the User Content solely for the purpose of providing and improving the Opal services. This license is limited to the operational needs of the platform, such as showcasing content, offering customer support, or promoting Opal services.

However, no ownership of the User Content is transferred to Opal. The User remains the sole owner of their intellectual property rights in the content, subject only to the license granted to Opal as outlined above. The User agrees not to upload or share any content that infringes upon the intellectual property rights of third parties or contains material that is unlawful, defamatory, obscene, or offensive. Any violation of third-party intellectual property rights may lead to the suspension or termination of the User's account.

While Opal respects the ownership of User Content, Opal retains all rights, title, and interest in and to the Opal platform, including its software, applications, and any other materials provided by Opal for the User's use. These materials are protected by intellectual property laws, and the User has no rights to use Opal's intellectual property beyond the scope explicitly permitted in these Terms. The User agrees to indemnify and hold Opal harmless against any claims, damages, or liabilities arising from the infringement or misuse of intellectual property rights in their submitted content.

Opal reserves the right to remove any User Content that it believes, in its sole discretion, infringes upon third-party intellectual property rights or violates the Terms of Service, without prior notice. In such cases, Opal will take reasonable steps to notify the User of any content removal.

ARTICLE 11: RETURN

Opal understands that occasionally a return may be necessary; however, in the case of return, the User will be responsible for both the delivery and return costs, which includes the Service Fee (together the "Return Fees"). These costs will be calculated at twice the agreed delivery fee, which covers both the initial delivery and the return of the item along with Service Fee. Failure to pay for the return fees may result in restrictions on the User's ability to use Opal's services, and the User may be held liable for any disputes arising from such actions.

Notwithstanding the above, the User may cancel the order if the delivery exceeds the time frame specified by the Representative at the time of booking. In such cases, the User will not be required to pay any cancellation or return fees, provided the delay is attributable to the Representative and not to factors outside Opal's control (e.g., weather conditions, road closures, etc.).

ARTICLE 12: CANCELLATION

Upon receipt of an order confirmation, if the User wishes to cancel the order, they must contact the assigned Representative directly. However, cancellation is only permissible if the Representative has not yet been dispatched or arrived at the designated pickup location. Once the Representative has arrived to collect the order or is in transit for delivery, the User may still request a cancellation, but they may be required to pay the full agreed-upon delivery fee or any other charges as per the specific arrangement with the Representative, which includes Opal's service fee.

If the Representative has already begun the delivery process, the User may also be liable for any additional costs incurred due to the cancellation, including but not limited to transportation, handling fees, the agreed upon delivery fee and Opal' Service fee and other operational costs that may arise. Opal shall not be held liable for any disputes that may arise from the cancellation process, or any associated costs incurred by either party.

Opal reserves the right to cancel any order if the order contains incorrect or inaccurate information (e.g., wrong address, misleading product description, etc.), even after the order has been confirmed, and will do so without incurring any liability for damages or loss resulting from such cancellation.

ARTICLE 13: RENUNCIATION

Opal provides its services on an "as-is" basis, and although we strive to ensure the accuracy, completeness, and reliability of the content on our website and mobile application, we do not guarantee the accuracy, completeness, or fitness of any information provided through these platforms. The User acknowledges that any use of Opal's services or reliance on the content available through our website/application is at their own risk.

Opal, its partners, officers, employees, agents, or affiliates shall not be liable for any damages arising from the use of the website/application, including direct, indirect, incidental, punitive, or consequential damages. This includes, but is not limited to, any losses or damages incurred as a result of relying on content on the website, whether the reliance is based on contract, tort (including negligence), strict liability, or any other legal theory.

It is the sole responsibility of the User to evaluate the accuracy, reliability, and completeness of any information or content provided by Opal. The User should make their own independent decisions and take appropriate actions based on their assessment of the information. Opal will not be held liable for any consequences resulting from the User's decisions, actions, or reliance on the information provided through the Opal platform.

ARTICLE 14: LIABILITY

Opal provides general information and materials through its website and application; however, this does not constitute any form of professional advice, including but not limited to financial, business, legal, or otherwise. Users should not rely on the content provided on the Opal platform as a substitute for professional guidance, and Opal expressly disclaims any liability for any actions Users may take based on such information. Users are advised to consult with appropriate professionals for advice relevant to their individual circumstances.

Opal shall not be held liable for any direct or indirect damages, loss of business, revenue, profits, data, or any other consequential or incidental loss arising from the use, or the inability to use, the Opal website/application or its services, including but not limited to damages resulting from system failures, delays, interruptions, or errors in services. In no event shall Opal be responsible for any damages that exceed the amount paid by the User for the specific service causing the damage, if any.

If at any time Users are dissatisfied with any aspect of the Opal platform, website, or services, or disagree with these Terms & Conditions, the User is advised to immediately discontinue their use of Opal services. Continuing to use Opal's services after any such dissatisfaction or disagreement will constitute the User's acceptance of the Terms & Conditions.

Users acknowledge and agree that Opal cannot guarantee the privacy and confidentiality of any information exchanged through the website/application. While Opal takes reasonable measures to secure its platform, no system is completely secure. Therefore, Users should exercise discretion when sharing any sensitive, confidential, or personal information with Opal. Opal is not liable for any breach of privacy or security arising from the transmission of such information, whether by the platform, internet service, or third-party service providers.

Opal shall not be held liable for any failure or delay in performance of its obligations under these Terms and Conditions if such failure or delay is caused by circumstances beyond Opal's reasonable control, including but not limited to, natural disasters, fire, war, acts of terrorism, labor disputes, government regulations, internet outages, or any other event beyond Opal's control (a "Force Majeure Event"). In such cases, Opal will not be deemed to be in breach of its obligations under this agreement, provided that the affected party promptly notifies the other party of the Force Majeure Event and continues to perform its obligations to the extent reasonably possible.

ARTICLE 15: INDEMNITY

The User agrees to indemnify, defend, and hold harmless Opal, its affiliates, directors, officers, employees, agents, representatives, and partners from and against any and all claims, demands, actions, losses, damages, liabilities, penalties, fines, expenses, and costs (including reasonable legal fees) arising out of or in connection with:

  1. the User's use of Opal's services, website, or mobile application;
  2. any content, materials, or information submitted by the User that violates the rights of any third party or breaches any laws, regulations, or contractual obligations.
  3. any breach or alleged breach of these Terms & Conditions, Privacy Policy, or any other agreement entered into with Opal;
  4. any actions or omissions by the User that result in harm, damage, or loss to Opal, its employees, agents, or other users; and
  5. any disputes between the User and third parties (such as delivery representatives, vendors, or other users).

The User acknowledges that this indemnity obligation will survive the termination or suspension of their account and agrees to cooperate fully with Opal in defending against any claims. Furthermore, the User agrees not to settle or resolve any such claims without Opal's written consent, which shall not be unreasonably withheld. Opal, its affiliates, and representatives shall not be liable for any claims, losses, or damages arising from the User's use of the services, and the User assumes full responsibility for all such claims.

ARTICLE 16: THIRD PARTY LINKS

Opal shall not be held liable for any third-party content accessed through links posted on its website/application. Users acknowledge that accessing such sites is at their own risk, and Opal disclaims any liability to the fullest extent permitted by law.

Opal does not endorse and makes no representations regarding the truth, accuracy, reasonableness, timeliness, reliability, or completeness of any services, information, data, or content related to third parties. Additionally, Opal does not have any knowledge of or control over the information contained in any third-party website/applications.

Opal shall not be held liable for any loss or damage Users may experience while using third-party content. It is the sole responsibility of the Users to exercise discretion when accessing and using any third-party content.

ARTICLE 17: COMPLAINT HANDLING

If a User or Driver has a complaint or issue related to the services provided by Opal, they should follow these steps:

  1. Submit a Complaint: The User or Driver must submit a complaint through the Opal platform (via the website or mobile app) or by email. The complaint should include all relevant details such as the issue, parties involved, and any supporting information (e.g., screenshots or receipts).
  2. Acknowledgment: Opal will acknowledge receipt of the complaint within seven (7) business days and may ask for additional information if needed to investigate the matter.
  3. Opal will review the complaint and take appropriate action. The process will generally take ten (10) business days, depending on the complexity of the issue.
  4. Opal will provide a response to the complainant, explaining the findings and any actions taken to resolve the issue. If the complaint is upheld, Opal will work to resolve it in a fair manner.
  5. If the complainant is not satisfied with Opal's response, they may escalate the issue by contacting Opal again with further concerns. Opal will review any escalation and provide a final response.
  6. Opal expects all parties to act in good faith during the complaint process. Complaints made in bad faith will not be entertained.

ARTICLE 18: NATURE OF RELATIONSHIP

The relationship between Opal and the User or Driver is that of an independent contractor. Nothing in these Terms & Conditions shall be construed as creating a partnership, joint venture, employment, or agency relationship between the parties. Opal is merely a platform that facilitates the connection between Users and Drivers for the provision of delivery services.

Opal does not control, manage, or supervise the actions or activities of Drivers, nor does Opal act as a representative, agent, or employer of the User or Driver. Drivers operate as independent contractors and are solely responsible for their conduct, delivery services, and compliance with all applicable laws and regulations. Users and Drivers are responsible for their own contractual relationships and any disputes arising from them.

Neither Opal nor the User or Driver has the authority to bind, represent, or act on behalf of the other party in any manner, except as expressly provided in these Terms & Conditions

ARTICLE 19: MISCELLANEOUS

  1. Force Majeure: Opal shall not be held liable for any delay or failure to perform its obligations under these Terms & Conditions if such delay or failure is due to circumstances beyond its reasonable control, including, but not limited to, acts of God, natural disasters, strikes, riots, war, government action, or any other event beyond Opal's control (a "Force Majeure Event"). In the event of a Force Majeure Event, Opal will make reasonable efforts to resume performance as soon as possible.
  2. Amendments: Opal reserves the right to amend, modify, or update these Terms & Conditions at any time. Any changes will be posted on the Opal website or app and will take effect immediately upon such posting. It is the responsibility of the User or Driver to review the Terms regularly. Continued use of Opal's services after any amendments signifies acceptance of the updated Terms.
  3. Severability: If any provision of these Terms & Conditions is found to be unlawful, invalid, or unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the extent necessary to make it enforceable while reflecting the original intent of the parties.
  4. Any failure or delay by Opal in exercising any right, power, or privilege under these Terms & Conditions shall not operate as a waiver of that right, power, or privilege. A waiver of any provision of these Terms must be in writing and signed by an authorized representative of Opal.
  5. Assignment: The User or Driver may not assign, transfer, or sublicense their rights or obligations under these Terms to any third party without the prior written consent of Opal. Opal reserves the right to assign, transfer, or subcontract any of its rights or obligations under these Terms without notice.
  6. Headings: The section headings used in these Terms & Conditions are for convenience only and shall not affect the interpretation of these Terms.

ARTICLE 20: GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions, and any dispute arising out of or in connection with the use of Opal's website, mobile application, or services, shall be governed by and construed in accordance with the laws of the Sultanate of Oman, without giving effect to any principles of conflicts.

Any legal suit, action, or proceeding arising out of or related to these Terms and Conditions or the Opal services shall be exclusively instituted in the courts of the Sultanate of Oman. By using Opal's services, the User or Driver irrevocably submits to the jurisdiction of such courts and waives any objections based on jurisdiction, venue, or inconvenience of the forum.

In the event of any dispute, claim, or disagreement arising from or relating to these Terms and Conditions, the parties shall first attempt to resolve the dispute through amicable negotiation. The User or Driver must contact Opal's customer support team to initiate a resolution discussion within seven (7) days from the date the dispute is raised.

If the dispute cannot be resolved through negotiation within 15 days, the parties agree to resolve the dispute through binding arbitration, rather than through court proceedings. The arbitration shall be conducted under the arbitration laws of Oman and in accordance with the rules of the Oman Arbitration Centre (or another mutually agreed arbitration body).

The arbitration shall be conducted by a single arbitrator, appointed in accordance with the arbitration rules. The place of arbitration shall be Muscat, Oman, and the proceedings shall be conducted in English. The decision rendered by the arbitrator shall be final and binding upon the parties, and judgment on the arbitration award may be entered in any court having jurisdiction.

The parties agree that each shall bear its own costs and expenses related to arbitration, unless the arbitrator awards costs to the prevailing party. The prevailing party in any arbitration shall be entitled to recover its reasonable legal fees and arbitration costs from the non-prevailing party.

Notwithstanding the provisions of this clause, Opal may seek injunctive relief or other urgent equitable remedies from the competent courts of Oman in the event of a violation of these Terms & Conditions or a threat of harm to its interests.
